1. What CopyShield is

CopyShield is a monitoring and paperwork service for small e-commerce brands. We scan marketplaces and app stores every day for listings that use your brand name, and we assemble ready-to-file takedown packs (evidence, screenshots, filing links) when something looks suspicious. We are not a law firm.

2. Subscription and billing

  • The service costs $199 per month or $1,990 per year, per brand, billed in advance via our payment processor, Stripe. Every plan starts with a 14-day free trial.
  • You can cancel anytime in one click from your dashboard (Manage subscription) — no phone calls, no retention process. Cancellation takes effect at the end of your current billing period; monitoring continues until then.
  • No setup fees. No hidden charges. Your subscription renews at the same price until you cancel. We will never enroll you in another product without your explicit opt-in.
  • If a payment fails, we may pause monitoring until billing is resolved.

3. Not legal advice

  • Everything we produce — alerts, dashboard content, evidence packs, analyst verdicts, takedown drafts — is informational only. It is not legal advice, and using the service does not create an attorney–client relationship. We are not your attorney.
  • Risk levels ("High risk" / "Review") and analyst verdicts are opinions based on automated signals, not legal conclusions. A flagged listing is suspected of misusing your brand — we never assert as fact that a listing is counterfeit.
  • We do not file takedown reports on your behalf. Filing is always done by you, as the rights owner — marketplaces only accept reports from rights owners or their authorized agents. Before acting on a close call, consult a licensed IP attorney.

4. Data sources and accuracy

Monitoring is provided on a best-efforts basis. We may miss listings: marketplaces change their pages, block automated access, or throttle us. When a source can't be reached, your dashboard says "waiting" — never "all clear". Alert emails may not reach you (spam filters). We track no legal deadlines for you. Always verify a listing on the marketplace itself before filing.

5. Your responsibilities

  • You must be at least 18 years old to subscribe.
  • Give us accurate brand names and contact details so monitoring matches correctly.
  • You are solely responsible for deciding whether to file a takedown and for the contents of anything you file. Filing a false infringement claim can expose you to liability — when in doubt, talk to an attorney first.
  • Use the service for your own business. Don't resell, republish, or systematically redistribute scan results. Don't misuse the service or attempt to disrupt it.

6. Indemnification

You agree to indemnify and hold harmless CopyShield against any third-party claims, damages, and expenses (including reasonable attorneys' fees) arising from your use or misuse of the service, listings you choose to report, or your violation of these terms.

7. Changes

We may update features or these terms. We will post changes here; material changes to billing will be communicated by email before they take effect. Continued use of the service after changes take effect means you accept the updated terms.

8. Disclaimers and limitation of liability

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or loss of trademark rights — even if we were advised of their possibility.

Our total liability for any claim is limited to the fees you paid in the 12 months before the claim arose. In particular, we are not liable for missed listings, listings we didn't flag, or decisions you make based on scan results.

9. Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Any dispute arising from these terms or the service will be heard exclusively in the state or federal courts located in New York, New York. You consent to personal jurisdiction there and waive any objection to venue.

10. General

  • If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.
  • These terms are provided in English and Spanish for convenience. If there is a conflict, the English version controls.
  • These terms are the entire agreement between you and CopyShield regarding the service.
